Terms and Conditions of Use of Mama Flow Studio website and programs.

NOTICE: These Terms and Conditions of Use are legally binding. When you use of this website and our applications, programs, content, streaming services, training services, promotions, software, technology and any other materials that we may provide (collectively, “Mama Flow Studio Products and Services”) from Mama Flow Studio and its affiliates (“Company” or “we” or “us” or “our”), you’re agreeing to these terms.
All of the Mama Flow Studio Products and Services are intended solely for users who are 18 or older. Any use of or access to any Mama Flow Studio Product or Services by anyone under age 18 is unauthorized and in violation of these Terms of Use. By accessing or using any Mama Flow Studio Products or Services, you represent that you are at least 18 years old.
The Mama Flow Studio website and the Mama Flow Studio Products and Services are shared only as yoga training - not for medical usage, physical therapy, medical therapy, or psychology therapy. They are for informational purposes only and are not intended to provide medical advice, diagnose medical or health conditions, or replace the advice of a licensed healthcare professional. Do not disregard professional medical advice or delay in seeking it because of something you have read on this site.
Waiver of Liability
I understand there is an inherent risk associated with any class and/or program offered by Mama Flow Studio LLC (the studio) including my voluntary participation in yoga, sculpt, rehab, carrier dance cardio on Zoom, use of virtual workout library and/or other services offered by the studio may result in injury. The exercises will challenge my cardio-respiratory and musculoskeletal systems associated with; the aerobic, anaerobic, strength, power, agility, flexibility, and breathing components of the program. I understand and am aware that the components of exercise are potentially hazardous activities and may cause injury.
I understand that I may receive group postural alignment advice during class. I will take responsibility for knowing my own limitations and decide if these directions are good for me, individually. I also understand that when using the virtual workout library and participate in Zoom classes, the teacher cannot watch me individually the same way a teacher can in a studio class and I take responsibility for my movement choices.
I acknowledge that I have either had a physical examination and/or have been given permission from my physician to participate in the exercise or that I have decided to participate in an exercise program voluntarily and without the approval of my physician and do hereby assume all responsibility for my participation in any exercise or any other activity associated with the studio.
I agree to observe and obey all posted rules and warnings, and further agree to follow any written or oral instructions or directions given by the studio, its teachers, employees, or agents. I certify that I am physically well and suffering from no medical problems, conditions, impairments, diseases, or any other illness that would prevent my participation or increase my risk of injury and/or illness as a result of partaking in any exercise/yoga program.
I, my heirs, or legal representatives, do hereby waive and release and agree not to sue the studio, its teachers, assistants, and employees of any and all liability and responsibility from injury, accident, illness, death, legal and medical fees sustained now or in the future resulting from my participation in any exercise regardless if it was through zoom or access virtual exercise library.
I agree to indemnify and defend the studio, its teachers, assistants, and employees against all claims, causes of action, damages, judgments, costs, or expenses, including attorney fees and other litigation costs, which may in any way arise from my participation in the exercise activities of or presence upon the facilities of the studio. I agree to pay for all damages to the property or facilities of the studio caused by my negligent, reckless, or willful actions. I agree to allow the studio to use my name and likeness in a photo or on videotape, if any, for promotional purposes or media releases.
Any legal or equitable claim that may arise from participation in the above shall be resolved under the laws of the State of California and I agree that all legal proceedings relating to any dispute or claim arising out of this Waiver or my participation in the above activity shall take place only in San Jose, California. Unless otherwise specified, I would like to be added to the studio email list. I acknowledge that I have read this waiver of liability form. I fully understand its terms and conditions and understand that I am giving up my right to sue the studio, its teachers, and employees. I acknowledge that I am signing this agreement voluntarily, and intend by my signature to be a complete and unconditional release of liability to the greatest extent allowable by law.
Terms of this Course and Course Purchaser Agreement
All website content, programs, content or services are owned and provided by Mama Flow Studio. The term “you” or “your” refers to any website user or purchaser of said program(s), product(s), course(s), or service(s). These Terms and Conditions of Use (“Terms”) govern and define how you are allowed to use and access Mama Flow Studio Products and Services. We reserve the right to update and change these Terms at any time, and will update them accordingly with the ‘date last updated’ at the top of this page.
You are legally bound to these Terms whether or not you have read them. If you do not agree with any of our Terms, please email us at cat@mamaflowstudio.com and we will make reasonable efforts to remove your name, email and access to Mama Flow Studio Products and Services and website(s).
Your Product and Service Use and Consent
When you purchased Mama Flow Studio Products and Services from us, you were given a reasonable notice that these Terms existed. By moving forward with your purchase of the Course and further access of the Course, you agreed and continue to agree to abide by these Terms as well as any disclaimers and privacy disclosures contained in these Terms. You agree you are at least 18 years old or of legal age in your applicable jurisdiction to access the Course. Access of our Course(s) and related materials by a minor is a violation of use, and we reserve the right to terminate your access if such an issue is discovered.
License(s)
Limited License. Subject to and in accordance with these Terms and other guidelines or instructions we include in the Course, we grant you a limited, non-transferable, non-sublicensable, non-exclusive, revocable license (“License”) to make individual use of the Course, including any courses purchased by you. Your purchase of any Course only entitles you to view that Course in accordance with the foregoing License, and is not a purchase of the software or content constituting or included in the Course. More specifically, unless explicitly authorized in these Terms or by the owner of the materials, you may not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works, exploit, or distribute in any manner or medium (including by email or other electronic means) any material from the Course(s). You may, however, from time to time, download and/or print one copy of the individual pages of the Course for your individual use, provided that you keep intact all copyright and other proprietary notices.
The License is for individual use. You may not assign or transfer any of your rights or obligations under this Section or these Terms to any person or entity and any attempt to do so is void.
We reserve the right to terminate your access to the Course at any time if we find that you have violated these Terms. We will make every attempt to notify you of any violation of these Terms and give you an opportunity to remedy the violation. However, if you fail to remedy the violation or continue to Violate the Terms, we will terminate your access to the Course with no refund of fees.
Terms Applicable to Subscriptions and Purchases
A. Generally. To purchase access and use of subscriptions that we make available for sale on the Service or other products and services available on the Service, you must be at least sixteen (16) years of age. To purchase subscriptions, products, or services, you must pay via credit card. You must provide us with a valid credit/debit card number and associated payment information including, but not limited to, the following: (i) your name as it appears on the card, (ii) your credit/debit card number, (iii) the credit/debit card type, (iv) the date of expiration, and (v) any activation numbers or codes needed to charge your card. For any subscription, product, or service that you order on the Service, you agree to pay the price applicable as of the time you submit the order. For subscriptions, we will automatically bill your credit card or other form of payment submitted as part of the order process for such price. For debit card information submitted to us or our third-party processor, you will be required to agree to debit authorization upon submitting your debit card for payment. The amount of each membership subscription depends on the type of membership agreement you enter into.
B. Subscription Term & Termination. Except in the event of a free trial offer, your subscription will commence as of the date your payment for a subscription is received by Mama Flow Studio. Your subscription will continue in full force for the length of the term you specifically purchased (e.g., monthly, yearly, etc.) until such time as you cancel the subscription as further explained below (the “Subscription Term”). In the event that you cancel a subscription in the middle of your Subscription Term, you will not be entitled to receive a refund for the unused portion of the remainder of that Subscription Term. Mama Flow Studio will have the right, upon written notice to you, to terminate these Terms, and suspend your access to your subscription, if: (i) you fail to pay Mama Flow Studio any amount due to Mama Flow Studio under these Terms, and/or (ii) you materially breach any term or condition of these Terms. Mama Flow Studio shall have the right to terminate these Terms and suspend your access to your subscription with or without cause, upon thirty (30) days written notice to you in which case you will no longer be charged for access to the subscription. Upon the expiration or termination of these Terms for any reason, your access to, and your use of, your subscription will terminate.
C. Free Trials and Promotional Offerings. We may offer promotional trial subscriptions to access the Service for free for a limited time or at special discounted prices. If you sign up for a trial use, your rights to use the Service are limited by the terms of such trial and will terminate or renew on the terms of your trial arrangement and/or any applicable Additional Terms. Please be aware that when you sign up for a free trial, you will be required to provide your credit/debit card number and Mama Flow Studio will confirm your credit/debit card is valid. When we process your credit card, some credit card companies may place a temporary hold on your account for your first payment. Please contact your credit card company if you have questions. Please note that we do not provide price protection or refunds in the event of a price drop or promotional offering. ONCE YOUR FREE TRIAL ENDS, WE WILL BEGIN BILLING YOUR DESIGNATED PAYMENT METHOD ON A RECURRING BASIS FOR YOUR SUBSCRIPTION (PLUS ANY APPLICABLE TAXES AND OTHER CHARGES) FOR AS LONG AS YOUR SUBSCRIPTION CONTINUES, UNLESS YOU CANCEL YOUR SUBSCRIPTION PRIOR TO THE END OF YOUR FREE TRIAL. WE RESERVE THE RIGHT TO MODIFY OR TERMINATE FREE TRIALS AT ANY TIME, WITHOUT NOTICE AND IN OUR SOLE DISCRETION.
D. Auto-Renewal of Membership. Your subscription to the Service will automatically renew at the end of your Subscription Term continuously and indefinitely without action by you, and the subscription fee will be charged to you at the time of renewal, until you cancel. An enrollee whose subscription fee has been paid is entitled to all privileges included in the subscription until the subscription is cancelled by the enrollee as set forth in the paragraph below. By providing your payment method information for your subscription, you are agreeing to pay a subscription fee, that will automatically renew, at the then current rate, unless you cancel prior to the expiration of the current Subscription Term, and any applicable taxes and service fees (collectively, “Fees”). The Fees will be charged to your original payment method automatically at the beginning of your Subscription Term, and at the beginning of each renewal Subscription Term thereafter on the calendar day corresponding to the commencement of your current Subscription Term, unless you cancel your subscription or your account is suspended or terminated pursuant to these Terms. The renewal Subscription Term will be the same length as your initial Subscription Term unless otherwise disclosed to you at the time of sale. The rate for the renewal Subscription Term will be the then current subscription-rate. The Fees charged to your payment method may vary from Subscription Term to Subscription Term due to changes in your subscription plan or applicable taxes, and you authorize Mama Flow Studio to charge your payment method for these amounts. Mama Flow Studio reserves the right to change the pricing of subscription at any time. In the event of a price change, Mama Flow Studio will post the new pricing on the Service and attempt to notify you in advance by sending an email to the address you have registered for your account. You agree that we may change the pricing we charge you for your subscription and any products/services offered in your subscription package by providing you with notice through an electronic communication from us and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You consent to our ability to change our pricing and the details of our subscription packages through an electronic communication to you. If you do not wish to accept a price or subscription package change made by us, you may cancel your subscription as described below, otherwise you will be deemed to have consented to the price/subscription package change and authorize Mama Flow Studio to charge the new Fees to your payment method. If there are any discrepancies in billing, you hereby waive your right to dispute such discrepancies if you do not notify Mama Flow Studio within sixty (60) days after they first appear on an account statement.
E. Cancellation of Membership. You have the right to cancel your subscription at any time. If you purchased a subscription through the Mama Flow Studio website, cancel through the website by clicking on “Cancel” next to the subscription you’d like to cancel through the “Active Packages” tab in your account settings, but you must do so at least twenty-four (24) hours before the end of the current Subscription Term. If you have issues canceling your subscription, please contact us for assistance at sayhi@mamaflowstudio.com. Cancellation of initial subscription any time after purchase will result in forfeiture of the Fees. Upon cancellation, you lose access to the areas of the Service designated for subscribers only. This could include any credit and other data, stats, and analyses that have been displayed during your membership.
Fees and Refunds
Fees. Fees for subscriptions and classes are set forth on the Website. We reserve the right to change Fees at any time.
Refunds. You can cancel your subscription at any time; however, there are no refunds for cancellation. In the event that Mama Flow Studio suspends or terminates your account or these Terms, you understand and agree that you shall receive no refund or exchange for any unused time on a subscription, any license or subscription fees for any portion of the Service, any content or data associated with your account, or for anything else.
Late Payments. If payments are not made on time, you agree to pay interest on all past-due sums at a rate of 1.5% per month or the highest rate allowed by law, whichever is greater.
Chargebacks. You agree to make every attempt to request a refund prior to attempting a chargeback with your financial institution. In the event of a chargeback attempt, you expressly agree to forfeit any and all of our bonuses, affiliate bonuses or other materials afforded to you in exchange for your original purchase of our Course. We reserve the right to present proof of your access and these Terms to the financial institution investigating the dispute.
Intellectual Property
All images, text, designs, graphics, page layout, icons, videos, logos, taglines, trademarks and service marks on our website and Mama Flow Studio Products and Services are owned by and the property of Mama Flow Studio or the properly attributed party. It is a violation of federal law to use any of our intellectual property in whole or in part, and modification of any materials contained on provided in the Course is illegal and may be prosecuted to the fullest extent permissible should we choose to do so, including seeking financial penalties (damages) and/or an injunction forcing you to stop using our intellectual property immediately.
You may:
Access the Mama Flow Studio Products and Services and website content for your individual use (if additional members of your team need to access to the Mama Flow Studio Products and Services, you must purchase additional Programs at one per each team member); Download and/or print any Program materials for your individual use (if additional members of your team need to download and/or print any materials from the Program, you must purchase additional Programs at one per each team member);
Use our trademarks and copyrighted materials with our prior written consent and proper credit and marking, namely, citing Mama Flow Studio as the source of the materials.
You may not:
Re-sell or trade your access to the Mama Flow Studio Products and Services;
Share the Mama Flow Studio Products and Services with anyone else who has not yet purchased it or opted to receive it;
Reprint any portion of the Mama Flow Studio Products and Services, except as set forth above and for your own individual use; Republish any of the Mama Flow Studio Products and Services, in part or in whole;
Distribute any of the materials contained in the Mama Flow Studio Products and Services or related materials and/or communications as your own; Reproduce and alter any part or whole of the Mama Flow Studio Products and Services for distribution as your own work;
Claim ownership or use over any of our intellectual property without our prior written consent, which includes (but is not limited to): copyrights such as course materials, worksheets, workbooks, lessons, videos and more; trademarks such as names, logos, tag-lines or other unique source identifiers; or trade dress including the look and feel of the Mama Flow Studio Products and Services (and its related communications and materials);
Use our Mama Flow Studio Products and Services or any related materials and/or communications in an unlawful way or for any illegal or unlawful purpose(s).
Request for Permission to Use Content. If you wish to use, publish or refer to any of our content, Mama Flow Studio Products and Services or related materials, you must do so by requesting permission prior to commencing use of the same by email us at sayhi@mamaflowstudio.com. Permission is not granted until you receive such permission in writing.
Civil and Criminal Penalties. Even though our Mama Flow Studio Products and Services are not physical property, you can be charged with theft or other face civil or criminal penalties if you copy, steal, infringe or otherwise violate these Terms. We reserve the right to prosecute infringers to the fullest extent allowed by criminal or civil statute in any jurisdiction allowed. You explicitly consent to personal jurisdiction in Minnesota by opting into or purchasing any Course or accessing its related communications and/or materials.
Your Materials and Contributions. By submitting a comment, photo, video or other material(s) onto any website or platform owned or maintained by us, including but not limited to the online software platforms that we use to distribute our Mama Flow Studio Products and Services and related materials, you agree that we have a non-revocable, commercial license to republish your submission in whole or in part unless you explicitly state that we may not do so with said submission. You have no right to privacy by accessing our Programs(s) or related materials, and we reserve the right to disclose your participation in the same.
Model Release. You must own the copyright to any image(s) you use in our Mama Flow Studio Products and Services or related materials. You grant us a commercial license to any image(s) you submit to us by default, such as a Facebook profile photo or other profile image you voluntarily provide in accessing the Programs, or that you provide voluntarily upon our request via email, our programs, or private facebook group. Such a default or voluntary release of your image and likeness may be used for any reasonable future business use.
Notification of Use. We are not obligated to notify you or anyone of our use in our own publications of photographs or other images that you submit to us by default or voluntarily.
Security and Assumption of Risk
Security. It is your responsibility to secure your username and password from theft or any other means of unauthorized use that would violate these Terms and Conditions of Use. We do not store any whole credit card numbers or payment information, and instead, these are processed through third party processors such as Stripe or Paypal. By utilizing these payment processors to gain access to the Mama Flow Studio Products and Services, you indemnify us and instead assume any and all risk or liability for the security of the payment details, and agree to be bound by the third party payment processor’s applicable terms and conditions of use.
Confidentiality. You have no right to confidentiality unless otherwise explicitly stated, such as in a subsequent client agreement, or otherwise implicitly agreed upon as mandated by law or fiduciary duty.
Assumption of Risk. By accessing our Mama Flow Studio Products and Services and/or related materials, whether paid or unpaid, you assume all the risk of your access and any subsequent actions you choose to take as a result of the influence, information or educational materials provided to you.
Disclaimers
General Disclaimer. To the fullest extent permitted by law, we expressly exclude any liability for any direct, indirect or consequential loss or damage incurred by you or others in connection with our Mama Flow Studio Products and Services, including without limitation any liability for any accidents, delays, injuries, harm, loss, damage, death, lost profits, personal or business interruptions, misapplication of information, physical or mental disease, condition or issue, physical, mental, emotional, or spiritual injury or harm, loss of income or revenue, loss of business, loss of profits, loss of contracts, loss of anticipated savings, loss of data, loss of goodwill, wasted time and for any other loss or damage of any kind, however and whether caused by negligence, breach of contract, or otherwise, even if foreseeable. We are not medical, legal, financial or other professionals, or if we are, during the terms of this Course and related material(s), we are not offering our professional services and you expressly agree we are not acting in any professional capacity, including medical, legal, financial or otherwise during the term of this Course. This Course is for educational and entertainment purposes only. None of the Course or its related material(s) should be construed as medical, legal, financial advice.
Earnings Disclaimer. Indemnification, Limitation of Liability and Release of Claims
Indemnification. You agree at all times to indemnify and hold harmless our Company, as well as any of our affiliates, agents, contractors, officers, directors, shareholders, employees, joint venture partners, successors, transferees, assignees, and licensees, as applicable, from and against any and all claims, causes of action, damages, liabilities, costs and expenses, including legal fees and expenses, arising out of or related to our Course(s).
To the fullest extent permitted by law, we expressly exclude any liability for any direct, indirect or consequential loss or damage incurred by you or others in connection with our Mama Flow Studio Products and Services, including without limitation any liability for any accidents, delays, injuries, harm, loss, damage, death, lost profits, personal or business interruptions, misapplication of information, physical or mental disease, condition or issue, physical, mental, emotional, or spiritual injury or harm, loss of income or revenue, loss of business, loss of profits or contracts, anticipated savings, loss of data, loss of goodwill, wasted time and for any other loss or damage of any kind, however and whether caused by negligence, breach of contract, or otherwise, even if foreseeable. You specifically acknowledge and agree that we are not liable for any defamatory, offensive or illegal conduct of any other Mama Flow Studio Product or Service participant or user, including you.
You acknowledge that we have not and do not make any representations as to the health, physical, mental, emotional, spiritual or health benefits, future income, expenses, sales volume or potential profitability or loss of any kind that may be derived as a result of your participation in a Mama Flow Product or Services. We cannot and do not guarantee that you will attain a particular result, positive or negative, financial or otherwise, through the use of Mama Flow Studio Products and Services, and you accept and understand that results differ for each individual. We also expressly disclaim responsibility in any way for the choices, actions, results, use, misuse or non-use of the information provided or obtained through any of our Mama Flow Products and Services. You agree that your results are strictly your own and we are not liable or responsible in any way for your results.
Dispute Resolution. You agree to notify the Company of any concerns or issues regarding Mama Flow Studio Products and Services, and to give the Company an opportunity to resolve those concerns or issues. If you and our Company cannot find a resolution to a dispute or potential claim by means of good-faith negotiation, then you explicitly agree to make a reasonable attempt to resolve any such dispute through Alternative Dispute Resolution or Mediation before filing a civil cause of action. If a civil cause of actions is filed by or against the Company related to the Products and Services, the laws of California shall apply.
Non-Disparagement. If you are found to be slandering, libeling or otherwise disparaging our Company, Mama Flow Studio Products and Services or related materials, you will be immediately removed from Mama Flow Studio Products and Services) and any related communications. We reserve the right to file a civil claim of action against you for any such damaging actions you take that materially harm our Company.
